Terms of Use

 

By using the TribeHQ.com web site, a hosted service of TribeHQ Limited ("TribeHQ"), you are agreeing to be bound by the following terms and conditions ("Terms of Use"), which includes TribeHQ’s Privacy Policy. Your use of the Service constitutes your acceptance of these Terms and Conditions. By agreeing to these Terms of Use, you also agree to the terms and conditions of any license agreement(s) that affect or are affected by the Service.

 

TribeHQ (the "Service") is subject to the following Terms and Conditions:

 

1.          You must be 13 years or older to use this site.

2.          You are responsible for any activity that occurs under your screen name.

3.          You are responsible for keeping your password secure.

4.          You must not abuse, harass, threaten, impersonate or intimidate other TribeHQ users.

5.          You may not use the TribeHQ service for any illegal or unauthorized purpose. International users agree to comply with all local laws regarding online conduct and acceptable content.

6.          You are solely responsible for your conduct and any data, text, information, screen names, graphics, photos, profiles, audio and video clips, jobs, links ("Content") that you submit, post, and display on the TribeHQ.com service.

7.          You must not modify, adapt or hack TribeHQ.com or modify another website so as to falsely imply that it is associated with TribeHQ.com.

8.          You must not create or submit unwanted email or messages to any TribeHQ members ("Spam").

9.          You must not transmit any worms or viruses or any code of a destructive nature.

10.       You must not use TribeHQ to solicit candidates. Only an Employing Organization using TribeHQ’s paid employer advertising services can use TribeHQ for recruitment processes, solely using the recruitment platform provided by TribeHQ.

 

11.       Only Employing Organizations can advertise on TribeHQ. No third-party recruiters may advertise on TribeHQ, unless they are the Employing Organization, where they are using TribeHQ’s paid recruitment advertising to employ staff internally.

 

12.       An Employing Organization must not post false vacancies and/or make any misinterpretations therein.

 

13.       TribeHQ reserves the right to withdraw without notice to the Advertiser (at the option of TribeHQ) any advertisement that may in TribeHQ’s view be in breach of any clause of this agreement or of any law or regulation.

 

14.       You must not, in the use of TribeHQ, violate any laws in your jurisdiction (including but not limited to copyright laws).

 

Violation of any of these agreements will result in the termination of your TribeHQ.com account. While TribeHQ.com prohibits such conduct and content on its site, you understand and agree that TribeHQ cannot be responsible for the Content posted on its web site and you nonetheless may be exposed to such materials and that you use the TribeHQ.com service at your own risk.

 

Payment for Services:

1.          All Service accounts are available for use and can be accessed if and only if all payments are current. Unless otherwise agreed in writing by TribeHQ, billing will be at the time of purchase and charged to the credit card furnished for that purpose.

2.          A valid credit card is required for paying accounts. Free accounts are not required to provide a credit card number.

3.          If you sign up for a paid account, you will be billed immediately.

4.          The Service is non-refundable. There will be no refunds or credits for partially used services, upgrade/downgrade refunds, or refunds for months or part-months unused with an open account. In order to treat everyone equally, no exceptions will be made.

5.          All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only New Zealand taxes.



General Conditions:

1.    We reserve the right to modify or terminate the TribeHQ.com service for any reason, without notice at any time.

2.    We reserve the right to alter these Terms of Use at any time. If the alterations constitute a material change to the Terms of Use, we will notify you via internet mail according to the preference expressed on your account. What constitutes a "material change" will be determined at our sole discretion, in good faith and using common sense and reasonable judgment.

3.    We reserve the right to refuse service to anyone for any reason at any time.

4.    We may, but have no obligation to, remove Content and accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Use.

5.    We reserve the right to reclaim usernames, tribes, groups or events on behalf of businesses or individuals that hold legal claim or trademark on those usernames.

 

Copyright (What's Yours is Yours):

1.          We claim no intellectual property rights over the material you provide to the TribeHQ service. Your profile and materials uploaded remain yours. You can remove your profile at any time by deleting your account. This will also remove any text and images you have stored in the system. To delete an account send an email to remove@tribehq.com with your username and delete in the subject.

2.          TribeHQ undertakes to obey all relevant copyright laws. We will review all claims of copyright infringement received and remove content deemed to have been posted or distributed in violation of any such laws. To make a claim, please provide us with the following:

a.     A physical or electronic signature of the copyright owner or the person authorized to act on its behalf.

b.    A description of the copyrighted work claimed to have been infringed.

c.     A description of the infringing material and information reasonably sufficient to permit TribeHQ to locate the material.

d.    Your contact information, including your address, telephone number, and email.

e.    A statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.

f.      A statement that the information in the notification is accurate, and, under the pains and penalties of perjury, that you are authorized to act on behalf of the copyright owner.

Trademarks:

1.          TribeHQ, and all other trademarks, service marks, graphics and logos used in connection with the Service are trademarks or registered trademarks of TribeHQ Limited or TribeHQ’s licensors.

2.          Other trademarks, service marks, graphics and logos used in connection with the Service may be the trademarks of third parties.

3.          Your use of the Service grants you no right or license to reproduce or otherwise use any TribeHQ or third-party trademarks.

 

Removal of Content:

1.          In its sole discretion, TribeHQ may (but is not required to) remove Content from any account utilizing the Service that TribeHQ deems potentially:



a.     A violation of any TribeHQ policy, including these Terms of Service;

Harmful, threatening, false, libelous, defamatory, or otherwise objectionable;
Subject to copyright and/or trademark laws or protection; orIn violation of other applicable laws, rules or regulations.



b.    In the event TribeHQ is required to remove Content, TribeHQ may, in its discretion, terminate or deny access to and use of the Service by the owner of the account within which such Content is located. In the case of such termination, TribeHQ will have no obligation to provide a refund of any amounts previously paid to TribeHQ.

 

Limitation of Warranties:

Except as otherwise expressly stated herein, all Content posted to or available from the Service is provided "as is", and TribeHQ and its owners, suppliers and licensors make no representations or warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title or non-infringement of proprietary rights. You understand and agree that you download from, or otherwise obtain Content and services through, the Service at your own discretion and at your own risk, and that TribeHQ and its owners, suppliers and licensors will have no liability or responsibility whatsoever for any damage (whether to your computer system, data or otherwise) that results from the download or use of such Content or services.

 

Disclaimer of Warranty.

TribeHQ does not warrant that any TribeHQ site will operate error-free or that any TribeHQ site and its servers are free of computer viruses or other harmful mechanisms. if your use of any TribeHQ site or the TribeHQ content results in the need for servicing or replacing equipment or data, TribeHQ is not responsible for those costs. the TribeHQ sites and TribeHQ content are provided on an "as is" basis without any warranties of any kind. TribeHQ, to the fullest extent permitted by law, disclaims all warranties, whether express or implied, including the warranty of merchantability, fitness for particular purpose and non-infringement. TribeHQ makes no warranties about the accuracy, reliability, completeness, or timeliness of the TribeHQ content, services, software, text, graphics, and links.

 

Limitation of Liability:

In no event will TribeHQ or any of its owners, suppliers or licensors be liable to you or any other party for any direct, indirect, special, consequential or exemplary damages, regardless of the basis or nature of the claim, resulting from any use of the Service, or the contents thereof or of any hyperlinked website, including without limitation any lost profits, business interruption, loss of data or otherwise, even if TribeHQ, its suppliers and its licensors were expressly advised of the possibility of such damages. In no event will the aggregate liability for any and all of your claims against.

 

Refund Policy:

1.          There will be no full or partial refunds.

 

Account Cancellation:

You can cancel your account at any time by sending an email to cancel@TribeHQ.com with your user name in the subject.

 

Security:

TriebeHQ is committed to providing the highest level of security for your micro-blogging needs. We guarantee your company communications and intellectual property is safe by employing the highest level of security standards and offering the highest level of control.

 

Secure connections:

All traffic To and From TribeHQ is secured using Secure Socket Layer (SSL) encryption to prevent packet sniffing and data interception.

 

Changes to this policy:

Although changes to our Terms of Use are unlikley to be significant, TribeHQ may periodically update this policy. We will notify you about significant changes in the way we treat personal information by sending a notice to the primary email address specified in your TribeHQ account or by placing a prominent notice on our site.
